Terms of Service

These terms govern your use of the Verdeaux wedding-planning service ("Verdeaux," "we," "us"). By creating an account or using the service, you agree to them. If you don't agree, please stop using the service.

AI-generated-content disclaimer. Verdeaux uses AI to generate vendor research, outreach drafts, proposal comparisons, and negotiation suggestions. This is guidance, not legal advice. AI can misread a contract, miss a clause, or misinterpret jurisdiction-specific language. Always review any contract with a licensed human attorney before signing. You are responsible for your own decisions, purchases, and agreements with vendors.

1. Who can use Verdeaux

You must be at least 18 and able to enter into a binding contract. One person per account.

The service is licensed for personal use by you, the account holder, in connection with your own wedding. You may not, and may not permit any third party to:

We use technical measures including per-account rate limits, request logging, and anomaly detection to enforce these rules. Violation may result in immediate suspension or termination of your account, forfeiture of any fees paid, and legal action including injunctive relief and damages.

5b. Use of AI-generated output

The vendor research, contract analyses, hidden-cost reads, recommendations, comparison tables, negotiation drafts, budget allocations, and other content produced by our AI systems (collectively, "Verdeaux Output") is the result of substantial investment in prompt engineering, data architecture, and model integration. Subject to your subscription, you may use Verdeaux Output for your own personal wedding-planning purposes. You may not:

5c. Competitive use

If you operate, are employed by, or are providing services to a business that competes (or plans to compete) with Verdeaux — including any wedding-planning platform, vendor-marketplace, AI-enabled wedding tool, or similar product — you may not use the service to evaluate, replicate, train, or inform the development of any competing product or service. Access for competitive intelligence purposes is not permitted under any subscription tier.

5d. Enforcement

We reserve the right to investigate suspected violations, throttle or suspend access, terminate accounts, void subscriptions without refund, and pursue legal remedies. We may disclose information about violators to law enforcement, courts, or third parties (including affected vendors) where reasonably necessary to enforce these terms or protect our rights or those of others. You agree that monetary damages alone may not adequately compensate us for breach of Sections 5, 5a, 5b, or 5c, and that we are entitled to seek injunctive relief without posting bond.

6. Your content

You retain ownership of anything you submit (interview answers, outreach drafts, uploaded proposals, etc.). By submitting, you grant us a limited license to process your content solely to operate the service for you (send it to the AI, store it, show it back to you).

Anonymous vendor-level signals derived from your usage (e.g., "this place_id has been considered by N users") may be retained in our shared anonymous corpus even after you delete your account. This data cannot be used to re-identify you.

7. No warranty

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI output can be wrong, incomplete, or misleading. Your use of any Verdeaux-generated content is at your own risk.

8. Limitation of liability

To the maximum extent permitted by law, Verdeaux, Westside Management LLC, and our affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or opportunity arising out of your use of the service. Our total aggregate liability for any claim will not exceed the greater of (a) what you paid us in the 12 months before the claim or (b) $100 USD.

9. Termination

You can terminate your account any time via the "Account" link in the app footer. We may terminate or suspend accounts that violate these terms, abuse the service, or fail to pay any fees due. Sections 6 (retention of anonymous data), 7 (no warranty), 8 (liability), and 10 (disputes) survive termination.

10. Governing law and disputes

These terms are governed by the laws of the State of Minnesota, United States, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Hennepin County, Minnesota, and you consent to their jurisdiction. Where required by law, you retain the right to bring claims in your local small-claims court.

11. Changes to these terms

We may update these terms. The "Last updated" date at the top of this page will change. Material changes will be announced in-app; continuing to use the service after a material change means you accept the new terms.
