Terms of Service
These terms govern your use of the Verdeaux wedding-planning service ("Verdeaux," "we," "us"). By creating an account or using the service, you agree to them. If you don't agree, please stop using the service.
1. Who can use Verdeaux
You must be at least 18 and able to enter into a binding contract. One person per account.
2. Your account
You're responsible for keeping your sign-in email secure. If someone else accesses your account, tell us at support@verdeaux.com so we can lock it.
3. What the service does
- Helps you set a wedding budget and allocate it across categories.
- Runs category-specific research on local vendors using Google Places + AI enrichment.
- Drafts outreach emails you can send from your own email client.
- Analyzes vendor contracts and proposals for hidden-fee and cancellation-policy risk.
- Generates negotiation scripts in tones you choose.
4. What the service does NOT do
- Verdeaux does not provide legal, financial, or tax advice.
- Verdeaux does not guarantee vendor availability, pricing, or outcomes.
- Verdeaux does not send emails on your behalf. You send from your own email client.
- Verdeaux does not negotiate on your behalf. We generate draft language; you choose whether to use it.
5. Acceptable use
You agree not to:
- Use the service to harass, defame, or spam vendors.
- Upload contracts or proposals that aren't yours or that you don't have the right to analyze.
- Use the service in violation of any law, regulation, or third-party right.
5a. No scraping, automation, or unauthorized access
The service is licensed for personal use by you, the account holder, in connection with your own wedding. You may not, and may not permit any third party to:
- Scrape, crawl, or systematically extract any portion of the service, including AI-generated text, vendor lists, vendor research, contract analyses, comparison tables, recommendations, prompts, or any data returned by our APIs or rendered in the user interface — whether by automated tools, scripts, headless browsers, browser extensions, third-party integrations, or manual collection at scale.
- Use bots, crawlers, scrapers, headless clients, or any automated means to access, query, or interact with the service. Access must be through a normal interactive browser session by a human user, except where we have published an official API and authorized your use of it in writing.
- Circumvent, disable, or interfere with any rate limit, authentication check, access control, security feature, or technical measure we use to protect the service. Attempting to defeat per-account rate caps by rotating accounts, sharing credentials, or routing requests through proxies is a violation of these terms.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, prompts, model weights, or underlying logic of the service or any of its components, except to the extent this restriction is prohibited by applicable law.
- Probe, scan, or test the vulnerability of the service or any related system or network without our prior written consent.
- Create accounts by automated means, in bulk, under false pretenses, or for the purpose of circumventing limits or restrictions in these terms.
We use technical measures including per-account rate limits, request logging, and anomaly detection to enforce these rules. Violation may result in immediate suspension or termination of your account, forfeiture of any fees paid, and legal action including injunctive relief and damages.
5b. Use of AI-generated output
The vendor research, contract analyses, hidden-cost reads, recommendations, comparison tables, negotiation drafts, budget allocations, and other content produced by our AI systems (collectively, "Verdeaux Output") is the result of substantial investment in prompt engineering, data architecture, and model integration. Subject to your subscription, you may use Verdeaux Output for your own personal wedding-planning purposes. You may not:
- Republish, redistribute, sell, license, or sublicense Verdeaux Output, in whole or in part, to any third party, except to share specific items with your own wedding-planning collaborators (partner, family members, the vendors you are evaluating) in the ordinary course of planning your own wedding.
- Use Verdeaux Output to develop, train, fine-tune, or evaluate any artificial intelligence model, machine learning system, dataset, embedding store, retrieval index, or competing product or service.
- Compile Verdeaux Output into a database, knowledge base, vector store, or content repository intended for redistribution, public access, or commercial use beyond your own wedding planning.
- Publish Verdeaux Output on a website, social media account, blog, newsletter, or other public-facing channel in a manner that allows third parties to access it without becoming Verdeaux subscribers themselves.
- Remove, alter, or obscure any attribution, watermark, fingerprint, or identifier embedded in Verdeaux Output. We may embed visible or invisible identifiers in Output to verify authenticity and trace unauthorized redistribution; tampering with these identifiers is a violation of these terms.
5c. Competitive use
If you operate, are employed by, or are providing services to a business that competes (or plans to compete) with Verdeaux — including any wedding-planning platform, vendor-marketplace, AI-enabled wedding tool, or similar product — you may not use the service to evaluate, replicate, train, or inform the development of any competing product or service. Access for competitive intelligence purposes is not permitted under any subscription tier.
5d. Enforcement
We reserve the right to investigate suspected violations, throttle or suspend access, terminate accounts, void subscriptions without refund, and pursue legal remedies. We may disclose information about violators to law enforcement, courts, or third parties (including affected vendors) where reasonably necessary to enforce these terms or protect our rights or those of others. You agree that monetary damages alone may not adequately compensate us for breach of Sections 5, 5a, 5b, or 5c, and that we are entitled to seek injunctive relief without posting bond.
6. Your content
You retain ownership of anything you submit (interview answers, outreach drafts, uploaded proposals, etc.). By submitting, you grant us a limited license to process your content solely to operate the service for you (send it to the AI, store it, show it back to you).
Anonymous vendor-level signals derived from your usage (e.g., "this place_id has been considered by N users") may be retained in our shared anonymous corpus even after you delete your account. This data cannot be used to re-identify you.
7. No warranty
The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI output can be wrong, incomplete, or misleading. Your use of any Verdeaux-generated content is at your own risk.
8. Limitation of liability
To the maximum extent permitted by law, Verdeaux, Westside Management LLC, and our affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or opportunity arising out of your use of the service. Our total aggregate liability for any claim will not exceed the greater of (a) what you paid us in the 12 months before the claim or (b) $100 USD.
9. Termination
You can terminate your account any time via the "Account" link in the app footer. We may terminate or suspend accounts that violate these terms, abuse the service, or fail to pay any fees due. Sections 6 (retention of anonymous data), 7 (no warranty), 8 (liability), and 10 (disputes) survive termination.
10. Governing law and disputes
These terms are governed by the laws of the State of Minnesota, United States, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Hennepin County, Minnesota, and you consent to their jurisdiction. Where required by law, you retain the right to bring claims in your local small-claims court.
11. Changes to these terms
We may update these terms. The "Last updated" date at the top of this page will change. Material changes will be announced in-app; continuing to use the service after a material change means you accept the new terms.
